Client project data is retained for a period of 24 months following the completion of the last active project. Financial records are retained for a minimum of 6 years as required by Spanish tax legislation. Upon expiration of the retention period, all personal data is securely deleted or anonymized.

4. Data Sharing

NebulaAxisSolutions does not sell, rent, or trade personal data to third parties. Personal data may be shared exclusively with:

• • Cloud infrastructure providers for hosting and deployment services
• • Legal authorities when required by law or binding legal process

All third-party processors are contractually bound to maintain GDPR-compliant data protection standards.

1. Service Delivery Terms

NebulaAxisSolutions delivers digital services including web development, design, and technical consulting. All services are provided according to the specifications agreed upon in the project proposal or statement of work (SOW) accepted by the client.

2. Refund Eligibility

Refunds are evaluated on a case-by-case basis according to the following criteria:

• • Pre-Production Cancellation: If a project is cancelled before any development work has commenced, a full refund of any advance payment will be issued within 14 business days.
• • Partial Refunds: If a project is cancelled after work has commenced, a partial refund may be issued proportional to the percentage of work completed at the time of cancellation. Work already delivered and accepted by the client is non-refundable.
• • Post-Delivery Refunds: Refund requests submitted after final project delivery and client acceptance will be evaluated individually. Technical defects or non-conformity with agreed specifications will be remediated at no additional cost.

3. Non-Refundable Items

The following are non-refundable:

• • Work that has been delivered and formally accepted by the client
• • Third-party costs incurred on behalf of the client (domain registrations, hosting fees, software licenses)
• • Consultation sessions that have been conducted
• • Rush fees and expedited delivery surcharges

4. Refund Process

To request a refund, submit a written request to [email protected] with the subject line "REFUND_REQUEST" and include: the project identifier, a description of the reason for the refund request, and any supporting documentation. All refund requests are processed within 30 business days. Refunds are issued using the original payment method.

5. Dispute Resolution

In the event of a dispute regarding refund eligibility, NebulaAxisSolutions agrees to engage in good-faith mediation before pursuing any other legal remedy. If mediation fails, disputes shall be resolved before the competent courts of Madrid, España.

6. Consumer Rights

Nothing in this refund policy limits your statutory rights as a consumer under Spanish and EU law, including the right of withdrawal for distance contracts within 14 days of contract formation, as provided by EU Directive 2011/83/EU.

1. Acceptance of Terms

By accessing and using the services provided by NebulaAxisSolutions, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our services. These terms constitute a legally binding agreement between you (the "Client") and NebulaAxisSolutions (the "Provider").

2. Scope of Services

NebulaAxisSolutions provides web development, design, and technical consulting services. The specific scope of each engagement is defined in a project proposal or statement of work (SOW) mutually agreed upon by both parties. The Provider reserves the right to modify the scope of services upon written agreement with the Client.

3. Payment Terms

All payments are due according to the payment schedule specified in the applicable SOW. Invoices are issued via Stripe payment processing. Late payments incur a statutory interest rate as defined by the Spanish Civil Code (Article 1108). The Provider reserves the right to suspend services if payment is overdue by more than 15 days.

4. Intellectual Property

Upon full payment of all outstanding invoices, the Client receives full ownership of all custom-developed code, designs, and documentation created specifically for their project. The Provider retains ownership of pre-existing frameworks, libraries, tools, and methodologies used in the development process, and grants the Client a perpetual, irrevocable, non-exclusive license to use such components within the context of the delivered project.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement. This obligation survives the termination of the agreement for a period of 24 months. Confidential information includes, but is not limited to: business strategies, technical specifications, source code, client lists, and financial data.

6. Limitation of Liability

To the maximum extent permitted by applicable law, NebulaAxisSolutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services. The Provider's total aggregate liability shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

7. Warranty

NebulaAxisSolutions warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. A 90-day warranty period applies to all delivered work, during which technical defects will be remediated at no additional cost. This warranty does not cover issues arising from unauthorized modifications, third-party software changes, or hosting environment modifications.

8. Termination

Either party may terminate the agreement with 30 days' written notice. In the event of termination, the Client is responsible for payment of all work completed up to the date of termination. The Provider will deliver all completed work and provide reasonable cooperation in transitioning to an alternative provider.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of España. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Salamanca, España.

10. Amendments

NebulaAxisSolutions reserves the right to amend these Terms of Service at any time. Material changes will be communicated to active clients via email at least 15 days before taking effect. Continued use of services after the effective date constitutes acceptance of the amended terms.
